1. Agreement
These terms govern your use of T1les (t1les.com), operated by DGCPM Enterprises NJ, LLC ("T1les," "we," "us"). By creating an account or using the service you agree to these terms and our Privacy Policy. If you're using T1les on behalf of a company, you're agreeing for that company and confirm you're authorized to do so.
2. Accounts
You must provide accurate information and keep your login credentials secure. You're responsible for activity under your account, including activity by teammates you invite. T1les is not intended for users under 16.
3. Plans, billing, and cancellation
Paid plans are billed per user per month through Stripe and renew automatically every month until the workspace owner cancels. Seats are counted at billing time. Charges are non-refundable except where required by law. Switching between paid plans takes effect right away: moving up charges the price difference for the rest of the current billing period, and moving down credits it to your next bill.
Price changes. We may change our prices, for example when our own costs change. We'll give at least 30 days' notice by email or in-app, and a new price applies from your first billing period that starts after the notice period ends. If you don't want to pay the new price, you can cancel before it takes effect.
Cancelling. The workspace owner can cancel at any time from Account. The workspace keeps working until the end of the period you have already paid for. After that it moves to the Free plan for 60 days, as described under Failed payments below: nothing is deleted during that time, but while the workspace has more members or boards than the Free plan allows it is read-only. At the end of the 60 days the workspace is permanently deleted: all of its boards, tiles, and attached files, and the account of every member who doesn't also belong to another workspace. You can resume the subscription from Account any time before the paid period ends, or renew a plan during the 60 days, to keep everything. Keep your own copies of anything you need before the deletion date.
Billing emails. When a paid plan starts, we email the person who paid a confirmation with the plan, its price, that it renews monthly, and how to cancel. When the owner cancels, we email them a confirmation with the dates above. Once a year, on the plan's anniversary, we email the owner a reminder of what the plan costs and how to cancel.
Failed payments. If a renewal payment fails, Stripe retries it, and the workspace keeps working in the meantime. If payment still can't be collected, or the subscription ends for any other reason, the workspace moves to the Free plan for 60 days. We email the workspace's admins and members when this happens and again a week before the end of the 60 days. During that time nothing is deleted, but while the workspace has more members or boards than the Free plan allows it is read-only: everyone can still view boards and download files, but no one can edit tiles or upload files. Features that need a paid plan, such as creating more boards or adding board links, are unavailable. If the plan isn't renewed within the 60 days, the workspace is permanently deleted. Renewing a plan before then restores everything.
Inactive Free workspaces. A workspace on the Free plan where no member has signed in or opened T1les and nothing has changed for 12 months is permanently deleted, with all of its boards, tiles, and attached files, and the account of every member who doesn't also belong to another workspace. We email every member about a month and again a week before the deletion date. Signing in or opening T1les, or changing anything in the workspace, before then keeps it and starts the 12 months again. Paid workspaces are never deleted for inactivity.
Keeping a cancelled or lapsed workspace. Any member of a workspace whose plan was cancelled or has lapsed can keep it by paying for a plan with their own payment method before the deletion date. Whoever pays becomes the workspace owner, and the previous owner stays in the workspace as a member. When the owner cancelled, we email every member right away.
Workspace ownership. The workspace owner is the person responsible for its plan and billing, and the only person who can cancel or delete it. The owner can hand the workspace to another admin and choose whether the payment method on file stays in place or the new owner adds their own. On the Team and Business plans, an admin of the workspace can ask to take over ownership from the Team page, for example when the owner has left. The owner is emailed at once and has 7 days to stop the takeover, by email link or from the Team page; the admin can withdraw it in that time. If it is not stopped, ownership moves to the admin after the 7 days, the previous owner either stays as an admin or is removed from the workspace (the admin chooses when asking), and everyone in the workspace is emailed. The new owner must add their own payment method; until they do, the plan keeps being charged to the payment method on file. Workspace owners are responsible for deciding who they make an admin. T1les does not decide ownership disputes between members of a workspace and does not reverse a completed takeover. When ownership moves, the new owner can see and manage the workspace's billing, including the payment method on file and past invoices.
4. Service limits and fair use
Each plan includes limits on boards, tiles, members, file size, and storage, as published on our pricing page. The Free plan includes 100 MB of file storage per workspace. These limits exist so the service stays fast and reliable for everyone.
We may adjust these limits, and may throttle, restrict, or suspend accounts whose usage materially exceeds normal patterns for their plan — including unusual storage, bandwidth, or processing demand — after reasonable notice, or immediately where necessary to protect the service or other customers. Where we make an immediate change, we'll explain it and work with you toward a plan that fits your usage.
5. Your content
You own what you put into T1les. You grant us the license needed to store, display, and transmit your content solely to provide the service. You're responsible for having the rights to anything you upload, and for not uploading anything unlawful, malicious, or infringing. We may remove content that violates these terms.
6. Acceptable use
T1les is for organizing work. You may not upload, store, or share anything, including in tiles, attachments, board names, comments, or images, that falls into any of these categories:
- Sexual content: pornography, sexually explicit material, or nudity, including drawn or AI-generated images.
- Child sexual abuse material: any content that sexualizes minors. We report it to the National Center for Missing & Exploited Children (NCMEC) and to law enforcement.
- Intimate images shared without consent, or content that exploits or sexualizes a real person without their consent.
- Violent or extremist content: graphic violence or gore, threats, or content that promotes terrorism or violent extremism.
- Harassment and hate: content that harasses, bullies, or threatens anyone, or attacks people based on race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, or age.
- Illegal activity: content that breaks the law or helps others do so, including selling illegal goods, fraud, scams, and phishing.
- Malware: viruses, malicious code, or files designed to harm devices or get around security.
- Other people's rights: content that infringes copyright or trademarks, or that exposes someone's private information (for example, doxxing or leaked personal data).
- File hosting: using T1les to store or distribute files unrelated to your boards, or spam.
You also may not attempt to access other customers' data, overload or reverse-engineer the service, or resell access without our permission.
Enforcement. We may review content, including file names and files, when we investigate a report or a suspected violation. If you break these rules, we can take any of these actions on your account:
- Remove content: we may delete or hide the content that breaks the rules, with or without notice.
- Warn you: we may email you a warning that names the rule you broke.
- Suspend your account: you can't sign in for a set period or until we lift the suspension. Your content stays in place while you're suspended. If you pay for a workspace, we pause its billing for the time you're suspended, so you aren't charged for time you can't use.
- Close your account: we may permanently delete your account and all of its data, including boards, tiles, and files. If you pay for a workspace, we cancel the subscription right away so you aren't charged again.
- Report and preserve: we report apparent child sexual abuse material to NCMEC and law enforcement, and we keep the content and account information the law requires us to keep. We may also share information with law enforcement when the law requires it.
We usually start with removing the content and a warning, and move to suspension or closing the account if violations continue or are serious. For the most serious violations, such as child sexual abuse material, intimate images shared without consent, or malware, we may close the account immediately and without warning.
Team workspaces. We normally act on the person who broke the rules, not on everyone in their workspace. Workspace admins are responsible for the content their members add. If we close the account of the admin who pays for a workspace, the workspace is closed too, and we'll let its other members know.
Notice and appeal. When we warn, suspend, or close an account, we'll normally email you what we did and which rule was broken, unless the law doesn't allow it or it would put someone at risk. If you think we got it wrong, reply to that email or write to contactus@t1les.com within 14 days, and a person will review the decision.
No refunds. Accounts suspended or closed for a violation are not entitled to a refund, including for any unused part of the current billing period, except where the law requires one.
To report content that breaks these rules, email contactus@t1les.com.
7. Availability and data
We work hard to keep T1les available but don't guarantee uninterrupted service. You're responsible for keeping copies of anything critical. We may perform maintenance, and we'll try to give notice for planned downtime.
How T1les is built and run. T1les is developed and maintained with the help of AI coding tools working under human direction; changes are reviewed and tested by a person before they go live. Automated and AI-assisted tools may also carry out maintenance on our systems, such as applying database changes, removing expired data and investigating faults, within the limits described in our Privacy Policy. Like any software, T1les can contain mistakes; sections 9 and 10 apply to all of it however it was written.
8. Termination
You can delete your account at any time. We may remove content from, warn, suspend, or close accounts that violate these terms, as described in Acceptable use. After termination, we may delete your data after a reasonable retention period.
9. Disclaimer of warranties
T1les is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent allowed by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We don't promise that T1les will be uninterrupted, timely, secure, or error-free, that defects will be fixed, or that your content will be kept safe from loss or corruption. You use T1les at your own risk and are responsible for keeping your own copies of anything important. Some places don't allow certain warranties to be excluded, so some of these exclusions may not apply to you.
10. Limitation of liability
To the fullest extent allowed by law, T1les and its owner, staff, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, or data, arising from or related to your use of, or inability to use, T1les. This includes outages, slowdowns, errors, bugs, security incidents, and the loss or corruption of your content, even if we were told such damages were possible.
Our total liability for all claims arising from or related to T1les or these terms is limited to the greater of the amount you paid us for T1les in the 12 months before the event giving rise to the claim, or US$50. These limits apply whatever the legal theory, whether contract, tort (including negligence), or anything else, and even if a remedy fails of its essential purpose. Nothing in these terms limits liability that the law does not allow us to limit.
11. Indemnification
You agree to defend, indemnify, and hold harmless T1les and its owner, staff, contractors, and suppliers from and against any claims, demands, losses, damages, liabilities, fines, costs, and expenses, including reasonable attorneys' fees, arising from or related to:
- content you, or people you invite to your workspace, upload or share in T1les;
- your use or misuse of T1les;
- your breach of these terms or of any law; or
- your violation of anyone else's rights, including intellectual property and privacy rights.
We may take over the defense of any such claim at your expense, and you'll cooperate with us in it. You may not settle any such claim without our written consent. If you use T1les on behalf of a company or other organization, that organization makes this commitment too.
12. Changes to these terms
We may update these terms or our pricing. For material changes, we'll give at least 30 days' notice by email or in-app before they take effect. Continued use after the effective date means you accept the updated terms. If you don't agree, you may cancel before the change takes effect.
13. Governing law
These terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules.
